Company liquidation

Liquidation of a Czech LLC (an “s.r.o.”) is primarily regulated under the Commercial Law, 513/1991 Sb, §68, §70-75 and §151-153. In accordance with these regulations, CFO2GO will:

  1. Hold a notary-registered shareholders' meeting to establish the date of liquidation and appoint a liquidator to manage the company through the process. This person will assume rights and obligations substantially similiar to the director (”jednatel”) throughout the liquidation period. File the changes with the Commercial Court.
  2. Prepare and file the tax return and liquidation balance sheet at date of entry into liquidation.
  3. Publicize the entry of the company into liquidation and record the claims of creditors, and take other measures necessary to shut down the operational activities of the company (ie, close bank accounts).
  4. Obtain confirmation that the company has no debts to state authorities.
  5. Account the company from appointment as liquidator until final dissolution.
  6. Prepare the proposal for the division of the liquidation remander to shareholders.
  7. Secure the archival of documents at the relevant state archive or with shareholders subject to applicable regulations.
  8. Prepare and file the final balance sheet and tax return with the Financial Authority.
  9. Prepare and file the final petition to dissolve the company with the Commercial Court.
Company liquidation is an extremely complicated process that requires the full attention of shareholders to conclude quickly. If the company has several creditors or accounts are in poor condition, the process can take additional time. These events are beyond the control of CFO2GO or its liquidator.
 
Liquidations require a three-month period between the entry of a company into liquidation and the preparation of the proposal on division of liquidation remainder. The remaining steps generally require less than two weeks to accomplish.
