BULLETIN: All American Directors and Shareholders of Foreign LLCs
Forms 5471 - Automatic Assessment of Penalties per IRC §6038(b)(1)


In August, 2008, the Internal Revenue Service began issuing letters to some taxpayers to alert them to an upcoming procedural change relative to the automatic assessment of penalties. This applies particularly to American shareholders who are directors of and/or own 10% or more of a foreign corporation that in turn is owned by other Americans, who in aggregate hold more than 50% of the entity or control it. December 31, 2008 is the IRS-appointed deadline for submission of delinquant reports.

BULLETIN: Employees and Self-Employed Should Review the Implications of the new US-CR Social Security Agreement


The US and Czech Republic just enacted a 2007 agreement on the totalisation of social security retroactively to 1.1.2009. The agreement enables workers to count service in both countries towards calculation of their retirement benefit ' and enables them to draw on this benefit in either country. This agreement shall work in tandem with similar agreements concluded by the participants with other nations. Significantly, it also removes the "social security penalty" paid by self-employed workers who until the enactment of the law were required to pay into both systems on the same earnings.
